Terms of Service | Promise Alignment

These Terms of Service (“Terms”) govern access to and use of the promisealignment.com website, software, and AI-powered platform (collectively, the “Services”) operated by The Promise Alignment Company, LLC (“we,” “us,” or “our”). By registering an account, purchasing a subscription, or accessing the Services, the entity or individual customer (“Customer,” “you,” or “your”) agrees to be bound by these Terms.

1. Services & License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use our SaaS platform for your internal business operations during the active subscription term. The Services serve as an AI-powered system of record to help organizations analyze, align, and bridge gaps in company promises.

2. Subscriptions, Renewal, Billing, & Plan Changes

Subscription Plans: Services are billed on a recurring subscription basis according to the plan selected (e.g., Quarterly or Annual).
Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle for an equivalent duration unless canceled or modified in accordance with these Terms.
Cancellation Route: To cancel your subscription renewal, you must initiate a cancellation directly within your account billing settings in the platform dashboard.
Notice Periods: Notice of non-renewal must be submitted prior to your renewal date based on your active plan:
- Quarterly Plans: Requires a minimum of thirty (30) days’ notice prior to the end of the current quarterly term.
- Annual Plans: Requires a minimum of sixty (60) days’ notice prior to the end of the current annual term.
Late Cancellation Effect: If notice of non-renewal is provided after the applicable notice deadline (fewer than 30 days for Quarterly, or fewer than 60 days for Annual), the cancellation will not take effect for the upcoming cycle. The subscription will automatically renew for one additional Renewal Term at the applicable rate, and termination will take effect at the conclusion of that final Renewal Term.
Plan Modifications & Cycle Switching: You may request or configure plan modifications (such as switching between Quarterly and Annual cycles) within the platform or in writing. Any cycle change takes effect at the start of the next renewal term. The notice period required for any subsequent cancellation or plan modification is determined by the subscription plan cycle currently active at the time notice is submitted.
Renewal Pricing & Promotional Rates: Subscriptions renew at our then-current standard list price unless otherwise agreed in a separate written order form. Any promotional, discounted, or introductory pricing applies strictly to the initial specified promotional period. Upon expiration of the promotional term, renewals revert to the then-applicable standard pricing.
Taxes: All fees are exclusive of taxes. Prices are quoted plus applicable taxes, and you are responsible for all sales, use, value-added, goods and services, excise, and similar taxes or duties assessed on your subscription by any taxing authority, excluding taxes based on our net income. Where we are required to collect such taxes, they will be calculated and added to your invoice.
Refund Policy: Timely cancellation prevents future billing cycles. Paid subscription fees are non-refundable, and we do not provide prorated refunds or credits for early cancellation during an active billing term.

3. Customer Data & Privacy

Data Ownership: You retain all rights, title, and interest in and to the raw data, diagnostic inputs, and information submitted by you to the platform (“Customer Data”).
License to Data: You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display Customer Data solely to provide, secure, maintain, and improve the Services.
Anonymized & Aggregated Data: We may collect and process aggregated, non-identifiable data derived from Customer Data to train platform algorithms, generate industry benchmarks, and improve system capabilities.
Data Privacy: Our collection and use of personal data are detailed in our Privacy Policy.

4. Intellectual Property, Trademarks, & Generated Outputs

Platform & Frameworks: The Promise Alignment System, AIdvisor, Promise Audit, Cost of Drift, Promise Stack, Promise Gate, Promise Drift, Drift Zones, Alignment Network, Alignment Rhythm, software code, UI, trademarks, and proprietary methodologies are the sole intellectual property of The Promise Alignment Company, LLC.
Report & Output License: Subject to payment of applicable fees, we grant you a perpetual, worldwide, non-exclusive, non-transferable license to use, download, export, and share (via platform-generated links) your generated Promise Audit, Cost of Drift analysis, and related platform reports for your internal business purposes. You may not white-label, resell, sublicense, or publicly redistribute underlying platform frameworks or raw report models without prior written consent.

5. Acceptable Use & Restrictions

You agree not to, directly or indirectly:

Impersonate any person or organization, or misrepresent your affiliation with an organization during account registration, domain verification, account claims, or diagnostic processes.
Conduct competitive intelligence, reverse engineer, decompile, or replicate the platform, AIdvisor logic, or proprietary methodologies.
Scrape, harvest, or systematically extract data from the platform.
Circumvent security controls, usage limits, or access barriers.
Use the platform for any unlawful purpose.

6. Advisory & Informational Disclaimer

The Services, AIdvisor recommendations, Promise Audit findings, and generated outputs are informational diagnostics only. They do not constitute formal legal, financial, or management consulting advice. You are solely responsible for decisions and actions taken based on platform outputs.

7. Account Security

You are responsible for maintaining the security of your account credentials and for all activity conducted under your account. Notify us immediately at hi@promisealignment.com if you suspect unauthorized access or compromise.

8. Publicity Rights

Unless you opt out by emailing hi@promisealignment.com, you grant us the right to use your company name and logo on our website and marketing materials solely to identify you as a Promise Alignment customer.

9. Warranties & Service Availability

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

Consequential Damages: Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business opportunity).
Liability Cap: Our total cumulative liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to liability.

11. Mutual Indemnification

By Us: We will defend and indemnify you against third-party claims alleging that your authorized use of the Services directly infringes a third party’s copyright, patent, or trademark right.
By You: You will defend and indemnify us against third-party claims arising from Customer Data uploaded to the platform in violation of third-party IP rights, privacy laws, or applicable statutes.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any legal suit or proceeding shall be brought exclusively in the state or federal courts located in Texas.

13. Modifications to Terms

We reserve the right to modify these Terms. We will notify you of material changes by email or through a notice within the platform. Continued use of the platform after updates take effect constitutes acceptance of the modified Terms.
